Licenciada Mendoza de Walroth (the “Lic. Mendoza”) is an attorney licensed to practice law in Mexico since 1995.  Although she is originally from Mexico City, México, the Lic. Mendoza enjoys dual nationality as a citizen of both Mexico and the United States of America. 

Education.

In 1994, the Lic. Mendoza received her law degree from the prestigious Universidad del Valle de México, Campus Lomas Verdes, Mexico, graduating with Academic Distinction. In 1995 she passed the national Attorney Admissions Professional Exam, receiving Honorable Mention for excellence in the presentation of her thesis, and her defense of her thesis from a magnificent rebuttal.

Practice Areas.

Lic. Mendoza has represented clients in various aspects of international Corporate and Commercial Law, including corporate law matters related to domestic and foreign investments and/or business operations in Mexico and Latin America. Her practice addressed: commercial and corporate transactions, mergers and acquisitions, joint ventures; the formation of corporations and other commercial entities; the negotiation and drafting of complex contracts and agreements in Spanish and English; and in general, the representation of clients in multiple complex commerical negotiations and transactions.

Lic. Mendoza has also represented clients on all aspects of Real Estate Law in Mexico, such as: the purchase and sale of properties, preparation of Letters of Intent, simple or conditional Purchase and Sale Agreements, Purchase and Sale Agreements with Due Diligence, creation of Escrow Accounts, representation during the closing of the purchase and sale before a Notary Public; recovery of private properties against Ejidos and/or Ejidatarios in civil and criminal matters, as well as various controversies before Agrarian Courts and matters before the National Agrarian Registry.

Lic. Mendoza has also represented clients in matters of Agrarian Law in Mexico, including: negotiations for the purchase and sale of parceled land, in accordance with the mechanisms established by the Agrarian Law; conversions of Ejido lands to full ownership as private property; the drafting of contracts with the incorporation of detailed Due Diligence clauses; consultations and verification in the National Agrarian Registry regarding the Ejido and the holders of the parcel certificates; review of Ejido Assembly Minutes, notices and notifications related to the right of first refusal of the beneficiaries; review, consultation and verification of the records related to the conversion of Ejido property to full ownership; review, consultation and verification of the official documents and plans of the merger of properties or parcels, as the case may be.

Lic. Mendoza has also represented domestic and international companies in various aspects of Immigration Law for the hiring of foreign workers into their companies in Mexico, or in the case of transnational companies, the transfer of their executives to live and work in Mexico, including: processing employer registration certificates with the National Institute of Migration; preparing job offers in accordance with the guidelines established by the Regulations of the Migration Law; processing changes in the immigration status of their executives until obtaining the respective resident card; processing changes in the immigration status of the executives' families until obtaining the respective resident card; processing work permits for temporary residents; renewal of immigration documents; permits for departure and return to Mexico while an immigration application is being processed; among others.

Lastly, Lic. Mendoza has also represented clients in various matters under Mexican Customs Law, specifically regarding foreign trade, imports, and exports. She has also represented clients in customs administrative proceedings (PAMA) before the respective Customs Authority.
